RSUs are taxed as wages when they vest, but employers usually withhold federal tax at a flat 22% on supplemental pay under $1 million. For anyone in the 32%, 35% or 37% bracket, plus state tax, the shortfall arrives in April along with a possible underpayment penalty.## What we do for equity-compensated clients- Project vesting income for the year and set estimated payments or extra withholding to close the gap.
- Correct cost basis on Form 8949. Brokers often report RSU shares with a $0 or partial basis, which double-taxes income already on your W-2.
- Allocate equity income between states when you moved or changed work locations between grant and vest.
- Model ESPP sales as qualifying or disqualifying dispositions before you sell.
- Plan ISO exercises around the alternative minimum tax, and NSO exercises around your bracket.
- Use appreciated shares for charitable giving, and harvest losses elsewhere to offset gains.## RSUs: the basicsThe value of the shares on the vest date is ordinary income and becomes your cost basis. Selling immediately usually creates little or no additional gain. Holding is an investment decision about concentration in one company, not a tax strategy in itself, although shares held more than a year qualify for long-term capital gains rates on later growth.## ESPPs and stock optionsESPP shares bought at a discount get better treatment if held two years from the offering date and one year from purchase. Incentive stock options can trigger alternative minimum tax in the year you exercise even if you don’t sell. Non-qualified options are taxed as wages at exercise. Each has a different best timing, and the right answer depends on your other income that year.## Frequently asked questions### Why do I owe so much when my employer withheld shares?Because the flat 22% supplemental withholding rate (37% only above $1 million) is below the actual rate for most people with significant equity pay. The gap is your tax, not a penalty, but it can bring an underpayment penalty if it isn’t covered during the year.### Can I ask my employer to withhold more on RSUs?Some plans allow a higher withholding election. If yours doesn’t, increasing withholding on regular pay or making estimated payments does the same job.### Should I sell RSUs as soon as they vest? From a tax standpoint, selling at vest rarely costs anything extra. Whether to hold is a question of how much of your wealth you want in one company’s stock.Talk it through with a CPAA free 45-minute strategy session with an experienced CPA.
